1. Introduction Welcome to The Grains, an online marketplace that connects vendors with customers in South Africa. By using our platform, you agree to abide by these Terms and Conditions. If you do not agree, please refrain from using The Grains.
2. Definitions
- "Platform" refers to The Grains website and associated services.
- "Vendor" and "Crafter" refers to any individual or business that lists products for sale on The Grains.
- "Customer" refers to any individual or entity purchasing products from vendors on The Grains.
- "User" refers to both vendors and customers using the platform.
3. User Accounts & Eligibility
- Users must be at least 18 years old to register an account.
- Vendors must provide accurate business details, including valid contact and banking information.
- Users are responsible for maintaining the confidentiality of their login credentials.
4. Vendor Obligations
- Vendors must ensure that all products comply with South African laws and regulations.
- Vendors must provide accurate descriptions, pricing, and availability of products.
- Prohibited items, including illegal, counterfeit, or unsafe goods, must not be listed.
5. Product Listings & Sales
- Listings must include clear descriptions, pricing, and relevant images.
- Vendors are responsible for updating stock availability.
- The Grains reserves the right to remove any listing that violates these terms.
6. Fees & Payments
- The Grains may charge a commission or transaction fee on sales.
- Payments will be processed through an approved payment gateway.
- Vendors will receive payouts as per the agreed schedule, subject to transaction fees, and will only be done upon the receival of an invoice with the Vendor's information included.
7. Order Fulfillment & Shipping
- Vendors are responsible for fulfilling orders and shipping within the stated timeframe.
- Vendors must provide tracking details where applicable.
- The Grains is not liable for delayed or lost shipments.
8. Returns & Refunds
- Vendors must outline their return and refund policies clearly in their listings.
- Customers may request refunds in accordance with vendor policies and South African consumer protection laws.
- The Grains may mediate disputes but is not responsible for refund processing.
9. Intellectual Property
- Vendors retain ownership of their content but grant The Grains a license to use listings for promotional purposes.
- Users must not infringe on copyrights, trademarks, or intellectual property rights of others.
10. Liability & Disclaimers
- The Grains is a facilitator and does not guarantee product quality, safety, or delivery.
- Vendors and customers agree to use the platform at their own risk.
- The Grains is not liable for any losses, damages, or disputes arising from transactions.
11. Termination & Suspension
- The Grains reserves the right to suspend or terminate accounts violating these terms.
- Vendors and customers may close their accounts at any time, subject to pending obligations, and written confirmation.
12. Privacy & Data Protection
- The Grains complies with the Protection of Personal Information Act (POPIA) in South Africa.
- User data will not be shared with third parties without consent, except where legally required.
13. Governing Law & Disputes
- These terms are governed by the laws of South Africa.
- Disputes shall first be resolved through negotiation; if unresolved, legal action may be pursued in South African courts.
By using The Grains, you acknowledge and accept these Terms and Conditions. The Grains reserves the right to update these terms as needed. Continued use of the platform constitutes acceptance of any changes.
